These Terms & Conditions of Sale (“Terms”) govern the sale of goods by Seoul Trader Ltd, trading as Ahoy Beauty (“Ahoy Beauty”, “we”, “us” or “our”), to approved business customers purchasing products through www.ahoybeauty.com (the “Website”).

By registering for a trade account, placing an order or purchasing products from Ahoy Beauty, you acknowledge that you have read, understood and agree to be bound by these Terms.


1. Definitions

In these Terms, unless the context otherwise requires:

Business Day means any day other than a Saturday, Sunday or public holiday in England on which banks are open for normal business.

Business Customer means a customer acting wholly or mainly for the purposes of their trade, business, craft or profession.

Contract means the legally binding agreement between Ahoy Beauty and the Business Customer for the supply of Products following acceptance of an Order.

Customer, you or your means the Business Customer purchasing Products from Ahoy Beauty.

Order means any request submitted by a Customer to purchase Products through the Website or by any other method accepted by Ahoy Beauty.

Products means all goods offered for sale by Ahoy Beauty, including Korean skincare products and any other products listed on the Website.

Trade Account means an approved business account that allows access to wholesale pricing and ordering through the Website.

Website means www.ahoybeauty.com together with all associated webpages and services operated by Ahoy Beauty.

3. Business Customers Only

Ahoy Beauty operates exclusively as a business-to-business (B2B) wholesale supplier.

Products offered through the Website are intended solely for purchase by businesses operating within the United Kingdom.

We do not sell Products to private consumers.

By registering for a Trade Account or placing an Order, you confirm that:

  • you are purchasing Products for business purposes;
  • you are acting in the course of a trade, profession or business;
  • the information provided during registration is accurate and complete;
  • you have authority to place Orders on behalf of the business you represent.

If we reasonably believe that an Order has been placed by a consumer or by a person acting outside the course of business, we reserve the right to refuse or cancel that Order.


4. Trade Accounts

Access to wholesale pricing requires an approved Trade Account.

Submission of a Trade Account application does not guarantee approval.

We may request additional information to verify your business before approving an application. This may include, but is not limited to, confirmation of business details, trading information or other documentation that we reasonably consider necessary.

We reserve the right to approve or refuse any application at our sole discretion.

Customers are responsible for maintaining accurate account information and for keeping login credentials secure.

You must notify us promptly if you become aware of any unauthorised use of your account.

We reserve the right to suspend or terminate a Trade Account where we reasonably believe:

  • inaccurate or misleading information has been provided;
  • these Terms have been breached;
  • fraudulent or unlawful activity is suspected; or
  • continued supply would present an unacceptable commercial or legal risk.

Suspension or termination of a Trade Account does not affect any rights or obligations arising from Orders accepted prior to such suspension or termination.


5. Orders

Orders may be placed through the Website or by any other ordering method approved by Ahoy Beauty.

Orders submitted by a Customer constitute an offer to purchase Products in accordance with these Terms.

Although Products displayed on the Website are available to order, their inclusion does not constitute a legally binding offer by Ahoy Beauty to supply those Products.

We reserve the right to refuse any Order at our discretion.

Without limitation, we may refuse or cancel an Order where:

  • Products are unavailable;
  • we reasonably suspect fraudulent activity;
  • incorrect account information has been supplied;
  • fulfilment would breach applicable law or regulation;
  • fulfilment would create an unacceptable commercial risk; or
  • the Order exceeds quantities we are willing or able to supply.

Where an Order cannot be fulfilled after payment has been received, we will notify the Customer and arrange an appropriate refund for any Products that cannot be supplied.


6. Product Availability

We make reasonable efforts to ensure that Products displayed on the Website are available for purchase.

However, stock levels are subject to change and availability cannot be guaranteed.

If Products become unavailable after an Order has been placed, we reserve the right to:

  • cancel the affected item;
  • supply a reduced quantity; or
  • cancel the Order and refund any sums paid for unavailable Products.

We shall not be liable for any indirect or consequential loss arising from product unavailability.


7. Pricing

All prices displayed on the Website are shown exclusive of Value Added Tax (VAT) unless expressly stated otherwise.

Applicable VAT will be calculated and added during checkout in accordance with UK tax legislation.

Prices are shown in Pounds Sterling (GBP).

While we take reasonable care to ensure pricing accuracy, prices may be updated from time to time without prior notice.

The price applicable to an Order will be the price displayed at the time the Order is successfully placed.

Obvious pricing errors that are clearly identifiable as genuine mistakes may result in cancellation of the affected Order, in which case any payment received will be refunded in full.

8. Payment

Payment in full is required before any Order is dispatched.

We currently accept payment by:

  • Visa
  • Mastercard
  • PayPal
  • Bank Transfer

Orders paid by bank transfer will not be processed until cleared funds have been received.

If payment is not successfully received or authorised, we reserve the right to cancel the Order without further notice.

All payments must be made in Pounds Sterling (GBP).


9. Delivery

We currently deliver to business addresses within the United Kingdom only.

All Products are dispatched from our warehouse located at:

Orders are typically processed within 1–2 Business Days following receipt of cleared payment.

Estimated delivery is 2–4 Business Days from the date an Order is placed.

Delivery times are estimates only and are not guaranteed.

Delays caused by courier services, adverse weather, industrial action, transport disruption, public holidays or other circumstances beyond our reasonable control shall not constitute a breach of these Terms.

We currently dispatch Orders using DPD Next Day. We may use an alternative courier where reasonably necessary.

Customers requiring specific delivery arrangements should contact us before placing an Order.


10. Delivery Charges

Free standard delivery is available on Orders exceeding the minimum threshold published on our Website at the time of purchase.

Orders below the applicable free delivery threshold will incur the shipping charge displayed during checkout.

Delivery charges may be amended from time to time without prior notice.


11. Delivery Address

Customers are responsible for ensuring that the delivery address supplied is complete and accurate.

If an incorrect delivery address is provided, Ahoy Beauty shall not be responsible for any delay, additional delivery costs or losses arising as a result.

Where an Order has not yet entered the dispatch process, we will make reasonable efforts to amend delivery details upon request. However, such amendments cannot be guaranteed.


12. Risk

Risk in the Products passes to the Customer upon delivery to the delivery address specified in the Order.

Customers should inspect deliveries promptly upon receipt.


13. Inspection of Goods

The Customer must inspect all Products as soon as reasonably practicable following delivery.

Any claim relating to:

  • products damaged during transit;
  • incorrectly supplied Products; or
  • Products affected by an apparent manufacturing defect,

must be notified to Ahoy Beauty in writing within three (3) Business Days of delivery.

Claims should include:

  • the Order number;
  • a description of the issue; and
  • clear photographs of the Products and packaging where applicable.

Failure to notify us within this period may affect our ability to investigate the claim or obtain reimbursement from our courier or supplier.


14. Returns

As a wholesale supplier serving Business Customers, we generally do not accept returns except where expressly provided for in these Terms or where required by applicable law.

Returns will not be accepted for:

  • change of mind;
  • ordering incorrect Products or quantities;
  • overstocked or unsold inventory;
  • Products no longer required;
  • opened or used cosmetic Products unless affected by a verified manufacturing defect;
  • promotional items or free samples;
  • clearance or end-of-line Products; or
  • minor cosmetic damage to external packaging that does not affect the Product itself.

No Product may be returned without our prior written authorisation.

Unauthorised returns may be refused and returned to the sender at the Customer’s expense.


15. Damaged or Defective Products

If, following investigation, Ahoy Beauty determines that Products were:

  • damaged during transit;
  • incorrectly supplied; or
  • affected by a manufacturing defect,

we may, at our sole discretion:

  • replace the affected Product;
  • provide a full or partial refund; or
  • issue a credit note.

The remedy provided will depend upon the circumstances of the claim and product availability.

Where a return is required because the Product is confirmed to be damaged, incorrectly supplied or defective, Ahoy Beauty will arrange or reimburse reasonable return shipping costs.


16. Cosmetic Packaging

Many Korean skincare products are imported and transported internationally before reaching our warehouse.

Minor cosmetic imperfections to outer packaging, including light scuffs, small dents, minor creasing or similar handling marks, may occasionally occur during transportation or warehouse handling.

Such cosmetic imperfections do not affect the authenticity, safety, quality or intended use of the Product and shall not be regarded as defects.

Accordingly, minor cosmetic damage to external packaging does not qualify for a refund, replacement or return.


17. Product Information

We make reasonable efforts to ensure that Product descriptions, images and specifications published on the Website are accurate.

However:

  • product packaging may change without notice;
  • manufacturers may update formulations or ingredients;
  • colours displayed on screens may differ slightly from actual Products; and
  • Product images are provided for illustration purposes only.

Customers are responsible for reviewing current ingredient lists before supplying Products to end users, particularly where allergens or sensitivities may be relevant.

Ahoy Beauty shall not be liable for minor variations in packaging or presentation introduced by manufacturers.


18. Product Authenticity & Regulatory Compliance

Ahoy Beauty supplies genuine Korean skincare Products sourced through authorised distributors and, where possible, directly from brand owners or their authorised distribution partners.

Where applicable, Products intended for sale within the United Kingdom are supplied in accordance with relevant UK cosmetic legislation, including UK Responsible Person requirements and cosmetic notification obligations.

Customers remain responsible for ensuring that Products are sold, marketed and used in accordance with all laws and regulations applicable to their own business activities.

19. Intellectual Property

Unless otherwise stated, all content available on the Website, including but not limited to text, graphics, logos, photographs, icons, page layouts, branding, product descriptions and other materials, is owned by or licensed to Seoul Trader Ltd and is protected by applicable intellectual property laws.

Nothing in these Terms grants any licence or right to use our intellectual property except as necessary to browse the Website or purchase Products.

Customers may not copy, reproduce, distribute, publish, modify or otherwise use any Website content for commercial purposes without our prior written consent.

All third-party trademarks, brand names and product names remain the property of their respective owners and are used solely to identify the Products supplied.


20. Website Use

We make reasonable efforts to ensure that the Website is available and functions correctly at all times. However, we do not guarantee uninterrupted access and reserve the right to suspend, modify or withdraw the Website without notice.

While we take appropriate security measures, we do not warrant that the Website will always be free from viruses, malware or other harmful components.

Customers are responsible for ensuring that appropriate security measures are in place on their own systems before accessing the Website or downloading any content.


21. Marketplace Sales

Products purchased from Ahoy Beauty may be resold by the Customer in accordance with applicable laws and the policies of the chosen sales channels.

However, purchasing Products from Ahoy Beauty does not grant authorisation to sell on any particular online marketplace.

Many online marketplaces, including Amazon, may require invoices, letters of authorisation, intellectual property documentation, brand approval, or other evidence before permitting the sale of certain products.

Compliance with the requirements, policies, and approval processes of any online marketplace is entirely the responsibility of the Customer.

Ahoy Beauty does not guarantee that Products purchased from us will be approved for sale on any marketplace or platform, nor do we guarantee that any marketplace will accept our invoices or any other documentation as sufficient evidence for listing approval.

Ahoy Beauty shall not be liable for any refusal of listing approval, product restrictions, account suspensions, listing removals, intellectual property complaints, authenticity complaints, marketplace deactivations, loss of selling privileges, withheld funds, lost profits, loss of business, or any other direct or indirect losses arising from the Customer’s sale or attempted sale of Products on any online marketplace.


22. Limitation of Liability

Nothing in these Terms excludes or limits liability where such liability cannot lawfully be excluded or limited under the laws of England and Wales.

Subject to the above, Ahoy Beauty shall not be liable for:

  • loss of profit;
  • loss of revenue;
  • loss of business;
  • loss of anticipated savings;
  • loss of goodwill;
  • indirect loss;
  • consequential loss; or
  • special damages,

arising out of or in connection with any Contract or the supply of Products.

Our total liability in respect of any claim arising from a Contract shall not exceed the amount paid by the Customer for the Products giving rise to the claim.

Customers acknowledge that cosmetic products should be supplied and used in accordance with the manufacturer’s instructions and all applicable legal requirements.


23. Force Majeure

Ahoy Beauty shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control.

Such circumstances include, but are not limited to:

  • acts of God;
  • severe weather;
  • flood;
  • fire;
  • pandemic;
  • epidemic;
  • industrial action;
  • transport disruption;
  • interruption of utilities;
  • supplier failure;
  • shortages of raw materials;
  • governmental action;
  • changes in law; or
  • any other event beyond our reasonable control.

Where such an event occurs, we will use reasonable efforts to minimise disruption and resume normal operations as soon as reasonably practicable.


24. Privacy

We process personal information in accordance with our Privacy Policy and applicable UK data protection legislation.

By creating a Trade Account or placing an Order, Customers acknowledge that certain personal and business information will be processed for the purposes of administering accounts, fulfilling Orders and complying with legal obligations.

Our Privacy Policy forms a separate document and should be read alongside these Terms.


25. Amendments to these Terms

We reserve the right to amend these Terms from time to time.

The latest version will always be published on our Website.

Any amendments shall apply to Orders placed after the revised Terms become effective.

Orders accepted before any amendment shall continue to be governed by the Terms in force at the time the relevant Order was placed.


26. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful or unenforceable, that provision shall, to the extent necessary, be severed from these Terms.

The remaining provisions shall continue in full force and effect.


27. Waiver

Any failure or delay by Ahoy Beauty to exercise any right or remedy under these Terms shall not constitute a waiver of that right or remedy.

A waiver shall only be effective if made expressly in writing.


28. Entire Agreement

These Terms, together with any policies expressly referred to within them, constitute the entire agreement between Ahoy Beauty and the Customer relating to the sale of Products.

They supersede all previous discussions, representations, negotiations and agreements relating to their subject matter.


29. Governing Law and Jurisdiction

These Terms and any Contract arising from them shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or any Contract between Ahoy Beauty and the Customer.
